When a suitor offers to buy your four-year-old startup for billions, the standard playbook says you take the money. Upwind ripped up that script, walking away from an acquisition attempt by monitoring giant Datadog to stay independent. The San Francisco cloud security firm instead locked down a $400 million Series C financing round at a $3.8 billion valuation.

That fresh capital arrives just nine months after a previous $250 million round valued the business significantly lower, highlighting a meteoric ascent driven by the race to defend active digital infrastructure. That valuation relies on explosive financial momentum. The startup has consistently added millions in quarterly annualized recurring revenue, projecting a finish near $90 million for the year.

Both venture backers and the rejected buyer priced the business at more than 40 times that projected metric, a rich multiple yet notably lower than the 80 times ARR commanded by peers like Cyera earlier this year. Our read is that Upwind’s founders calculated that holding out for a future independent surge offers a better payout than accepting a flat buyout matching private market terms.

Yet staying independent carries heavy gravity in a market where few cybersecurity firms manage to go public.

Acquisition interest reportedly persists, meaning that independence might simply be a temporary negotiating stance rather than a permanent destination.

Watch whether Upwind can sustain its rapid revenue velocity against mounting AI-driven threats or if the allure of an even larger buyout eventually breaks their resolve.
