Sivers Semiconductors AB, a leading Swedish provider of photonics and wireless solutions, has announced a significant update to its share and voting structure following a directed new issue of 25,675,675 ordinary shares resolved by the Board on September 18, 2025. This action increases the company’s total shares to 311,333,572 and results in 298,014,633.1 votes as of September 30, 2025.
This strategic move reflects Sivers Semiconductors’ ongoing effort to strengthen its capital base amidst challenging market conditions and to diversify its shareholder profile. The company opted for a directed share issue—rather than a rights issue—to expedite the process, reduce costs, and minimize potential negative impacts on share price volatility. The newly issued shares were priced at SEK 3.70 each, representing a 9.8% discount to the volume-weighted average price on Nasdaq Stockholm on the day of resolution, which was determined via an accelerated bookbuilding procedure. This approach, according to the Board, was designed to reflect current market demand and conditions.
Institutional investors participated alongside key management figures, including CEO Vickram Vathulya and CFO Heine Thorsgaard, who together contributed approximately SEK 2 million. The total capital raised stands at SEK 95 million before transaction costs, further fortifying the company’s financial position for upcoming growth initiatives in AI data centers, satellite communications (SATCOM), and other high-impact technology markets.
Despite the significance of this capital move, the update has so far received limited coverage outside Swedish and Nordic financial news circles, with no notable global media attention or public commentary yet.
